INSOLVENCY AND LIQUIDATIONS SERVICES DIVISION

The Registrar, pursuant to Companies Act, 2019 (Act 992) and Section 153 of the Corporate Insolvency and Restructuring Act, 2020 (Act 1015) established the Division. The Corporate
Insolvency and Restructuring Act repealed the Bodies Corporate (Official
Liquidations) Act, 1963 (Act 180).

1. WHAT WE DO;
  • Oversee Business Restructuring & Administration
  • Undertake and Oversee Official Liquidation
  • Oversee Private Liquidation
  • Undertake Dissolution without Full Winding Up
  • Register, License and Regulate Insolvency Practitioners (IPs)
  • Educate & create Public Awareness on Liquidation Matters
  • Advise the Attorney General on Liquidation Matters through the Registrar of Companies
  • Cessation of External Companies
  • Mergers and Acquisitions
2. WHY INSOLVENCY MATTERS TO EVERYONE;

3. DISSOLUTION WITHOUT FULL WINDING-UP (S. 289 OF ACT 992)

Applicable when a company has ceased operations, dormant and has no liabilities.

Steps
  • Registrar receives information that company is dormant or has ceased operations.
  • Company may be written to for confirmation as to whether it is dormant or has ceased operations.
  • Where the Registrar does not receive feedback within two months of the communication, the Registrar may send a second written communication making refrence to the first written communication.
  • If no feedback is received, a notice of intention to strike off is published in the companies bullletin.
  • If no objection is received within 3 months, the Name of the Company is struck off and same is published in the companies bulletin.
4. PRIVATE LIQUIDATIONS (S. 274 (1)(b))

Where a company is solvent i.e. the company has more assets than liabilities and can pay its debts within 12 months.

Steps
  • Directors make an affidavit of solvency.
  • Members pass Special Resolution.
  • A Liquidator consents and is appointed.
  • The above three documents are filed with the Registrar and it is published in the companies bulletin.
  • Liquidator undertakes the process of liquidation and files his report with the Registrar.
  • Where the Registrar is satisfied that the winding up is complete, the name is struck off the Register and same is published in the Companies bulletin.
5. OFFICIAL LIQUIDATION (S. 80-149 of Act 1015)
  • When a company is insolvent i.e unable to pay its debt as they fall due.
  • Modes of Winding up.
  • By a special resolution
  • By a Petition to the Registrar
  • By a Petition to the Court
  • Conversion from private liquidation
  • Conversion from administration or restructuring
  • The Registrar or an Insolvency Practitioner (IP) in good standing may be appointed an Official Liquidator.
  • The Process is supervised by the ORC through the Registrar.
6. WINDING UP AND CESSATION OF EXTERNAL COMPANIES (S. 338-340 of Act 992)

WINDING UP
Where a parent company is being liquidated or dissolved in the country of incorporation-form 24

CESSATION
Company has ceased to have an established place of business in Ghana – form 25

Steps
  • File notice per the appropriate form
  • Notice is published in the companies Bulletin
  • Name is struck off the Register
7. ADMINISTRATION AND RESTRUCTURING
  • Designed to rescue distressed but viable companies.
  • Administration of the business, property and affairs of a distressed company in a manner that provides an opportunity for the company to as much as possible continue in existence as a going concern.
  • Temporary freeze on the rights of creditors and other claimants against a distressed company.
  • Temporary management of the affairs, business and property of a distressed company by an IP.
  • The development and implementation of a restructuring plan which results in a better return for the creditors and shareholders.
8. REGISTRATION AND REGULATION OF INSOLVENCY PRACTITIONERS IPS (S. 161 OF ACT 1015)
  • Insolvency Practitioners (IPs)are registered by the Registrar
  • A register of Insolvency Practitioners (IPs)is kept and maintained by the registrar
  • Registrar shall review conduct of IPs
  • Registrar May suspend or remove an

MERGERS

REQUIREMENTS FROM CLIENTS:
  • Approved merger proposal.
  • Any certificate required under subsection (2) of section (244)
  • A certificate signed by the directors of each transfer or company stating that the merger has been approved.
  • Where the transferee company is a new company or the merger proposal provides for a change of name of the transferee company, a copy of the notice reserving the name, ID any, of the company.
  • A certificate signed by the directors or proposed directors of the transferee company stating that, where the proportion of the claims of creditors of the transferee company in relation to the value of the assets of the company is greater than the proportion of the claims of creditors of a transferor company in relation to the value of the assets of that transferor company, no creditor shall be prejudiced by that fact.
  • A documents in a prescribed form signed by each of the persons named in the merger proposal as a director or secretary of the transferee company consenting to act as a Director or secretary of the company, as the case may be.
  • A fairness report regarding the merger and issued by an insolvency practitioner appointed by each company, unless dispensed with under this section 247.
REQUIREMENTS FROM THE REGISTRAR:

The Registrar shall, within 7 days from the date of receipt of the documents, in the case of merger by absorption, issue a certificate of merger, or in the case of merger by formation of a new company.

Procedure for Official Liquidation

Liquidation is the process of closing down, winding up or dissolving a company.

Types of Liquidation
  • Official Liquidation
  • Private Liquidation
  • Dissolution
Modes of liquidation

By a special resolution of the company through

  • Petition addressed to the registrar
  • Petition to the court
  • By conversion from a private liquidation to official liquidation
Process involved in executing official liquidation
  • The official liquidator requires funds to execute the liquidation.
  • The official liquidator requesting for the statement of affairs from all the directors of the company
  • Publication of the liquidation order in the gazette
  • Notice in a national daily newspaper calling on all creditors to file their proof of debt before a fixed date and calling on debtors to pay up or make arrangement before a fixed date to pay their debt.
  • Publication of first creditors meeting by the official liquidator to bring the creditors the state of liquidation.
  • Gathering of the veto of the company by the official liquidator.
  • Publication of second creditors meeting
  • Selling of the assets of the company to pay creditors.
Private liquidation / voluntary liquidation

Private liquidation is a process designed to allow an insolvent company to close voluntarily. The decision is made by a board resolution but instigated by the directors 75% of the company’s shareholder must agree to liquidate for liquidation proceedings to advance.

  • Affidavit of solvency by the directors of the company
  • Special dissolution for the winding up, include appointment of liquidator. The special dissolution is passed by the members
  • Directors of the company should file annual return and auditors account up to days
  • The Registrar of Companies may issue section 248 attached to the special resolution filed by the members of the company to be gazetted in the bulletin
  • After the gazette of the special resolution in the bulletin, the Registrar of companies will issue section 260 (1) of the Companies Act to strike the company name of the company register
  • The Registrar will proceed to cancel the companies name from the company registrar, after the 260(1) has been gazette and a copy has been sent to the registrar of companies
  • Publication of second creditors meeting
  • Selling of the assets of the company to pay creditors.
