The Office of the Registrar of Companies (ORC) has issued a final reminder to all registered business owners, company directors, secretaries, and partners of incorporated partnerships across Ghana that there will be no extension beyond June 30, 2026, for the filing of Annual Returns and the renewal of business names.
The Office noted that the deadline was previously announced in a press release issued on April 28, 2026, and urged all defaulting companies and businesses to take immediate steps to comply with the statutory requirement. Companies that fail to file their Annual Returns together with their financial statements by the deadline will be deemed non-compliant and subject to penalties in addition to applicable filing fees. Companies that have defaulted for five years or more will pay a penalty of GH¢2,000, while those in default for one to four years will pay GH¢1,000.
The Registrar of Companies, Mrs. Maame Samma Peprah, emphasized that timely compliance is essential to maintaining accurate business records and ensuring the continuity of businesses on the official register, cautioning that failure to meet the deadline could result in businesses being delisted from the register, affecting their legal standing and operations.
The Office reiterated its commitment to supporting businesses and promoting compliance, underscoring its role as a trusted partner for business development in Ghana.
