Re-Registration
Re-registration is a one-time free process of updating all business entities registered or incorporated before 5th December 2011, unto our new electronic database. Such business entities registered before 5th December 2011 remain valid but not in good standing.
N.B. All Entities already Re-Registered will only file their Annual Returns, Renewals or Group Accounts to be in good standing
Procedures
Business Names/Subsidiary Business Names
- Download or purchase Re-Registration Form A or Form C and Annual Returns Forms
- Pay Annual Renewals up to date at our in-house bank
- Complete Re-Registration Form A or Form C
- Attach copies of Annual Renewal receipts and old Registration Documents (i.e. Certificate of Registration, Form A or Form C, Form D (if any))
- Attach a copy of Ghana Card (both sides)
- Registrar Examines, Approves and Issues: Certificate of Registration, Certified True Copy (CTC) of Re-Registration Profile
Partnership
- Download or purchase Re-Registration Form B and Annual Renewal forms
- Pay Annual Renewals up to date at our in-house bank
- Complete Re-Registration Form B
- Attach copies of Annual Renewal receipts and old Registration Documents (i.e. Certificate of Incorporation, old Partnership Form A, Supplementary Partnership Agreement (if any) and Form B for all changes (if any))
- Attach a copy of Ghana Card (both sides) of all partners
- Registrar Examines, Approves and Issues: Certificate of Registration Registration Number and TIN, Certified True Copy (CTC) of Re-Registration Profile
Companies
- Download or purchase the appropriate Re-Registration Forms (Form 3/ Form 3A/ Form 3B/ Form 3C/ Form 3D/ Form 3E) and Annual Returns Forms
- File Annual Returns with financial statements up to date and pay at our in-house bank including penalty fees
- Complete the appropriate Re-Registration Forms
- Attach old Registration Documents i.e. Certificate of Incorporation, Certificate of Commencement Form 3, Form 4 (for all Companies Limited by Shares only) , Regulations or any other Relevant Change Documents
- Attach a copy of Ghana Card (both sides) of all Directors, Secretaries, Shareholders and Beneficial Owners
- Registrar Examines, Approves and Issues: Certificate of Incorporation Registration Number and TIN, Certified True Copy (CTC) of Re-Registration Profile, Adopted Constitution, Beneficial Ownership Profile
External Companies
- Download or purchase Re-Registration Forms 20 and Form 21
- File Group Accounts up to date and pay at our in-house bank including penalty fees
- Complete the appropriate Re-Registration Forms
- Attach old Registration Documents i.e. Certificate of Registration, Form 20, Form 21, memorandum or articles of association, charter, statutes, constitution or any Relevant Legal Documents from country of Incorporation defining the relationship between the company and its shareholders and directors, and any other Relevant Change Documents
- Attach a copy of Ghana Card (both sides)/ Passport (for foreigners only) of Local Manager
- Registrar Examines, Approves and Issues: Certificate of Registration Registration Number and TIN, Certified True Copy (CTC) of Re-Registration Profile, Beneficial Ownership Profile
Professional Bodies
- Download or purchase Re-Registration Professional Bodies Form A
- File Annual Returns with financial statements up to date and pay at our in-house bank including penalty fees
- Complete Re-Registration Professional Bodies Form A
- Attach copies of Annual Returns receipts and old Registration Documents (i.e. Certificate of Registration, Professional Bodies Form A, Up-to-date list of Members, Constitution, any changes that have occurred in the constitution and any other relevant documents
- Attach a copy of Ghana Card (both sides) for all executive members
- Registrar Examines, Approves and Issues: Certificate of Registration with new Registration Number and TIN, Certified True Copy (CTC) of Re-Registration Profile
