The Office of the Registrar of Companies (ORC) has announced that it will continue the publication of statutory notices through the Companies Bulletin as part of its mandate under the Companies Act, 2019 (Act 992). The directive, issued in a press release signed by the Registrar of Companies, Mrs. Maame Samma Peprah, reaffirmed the Office’s commitment to promoting transparency, accountability and public access to corporate information in Ghana.
According to the ORC, the Companies Bulletin remains the official platform for the publication of statutory notices and regulatory updates concerning corporate activities in the country. The Office explained that the publication forms part of measures aimed at strengthening corporate governance and ensuring that businesses comply with the provisions of the Companies Act.
The release highlighted that several statutory notices are required by law to be published through the Companies Bulletin. These include notices relating to change of company names, publication of unclaimed dividends transferred to the Registrar, registration of court orders and minutes, enforcement of security registrations, annual returns, and directives or guidelines issued by the Registrar. Other notices include matters relating to liquidation processes, dissolution and restoration of companies, conversion of private companies into public companies, and the winding up of external companies operating in Ghana.
The ORC noted that the publication of such notices is essential in ensuring transparency within Ghana’s corporate environment while providing stakeholders and the general public with access to important business and regulatory information. The Office further encouraged companies, corporate bodies, legal practitioners, investors and members of the public to regularly consult the Companies Bulletin to stay informed on statutory notices and developments affecting registered entities in the country.
Speaking through the release, the Registrar of Companies reiterated the ORC’s resolve to create an efficient and reliable regulatory framework that supports business growth and investor confidence in Ghana’s corporate sector.
The Companies Bulletin is published in accordance with Section 370 of the Companies Act, 2019 (Act 992), which mandates the Registrar to publish statutory notices and related corporate information for public access and regulatory compliance.
