The Office of the Registrar of Companies (ORC) has issued a final reminder to all registered business owners, company directors, secretaries, and partners of incorporated partnerships across Ghana that there will be no extension beyond June 30, 2026, for the filing of Annual Returns and the renewal of business names.

The Office noted that the deadline was previously announced in a press release issued on April 28, 2026, and urged all defaulting companies and businesses to take immediate steps to comply with the statutory requirement. According to the ORC, companies that fail to file their Annual Returns together with their financial statements by the deadline will be deemed non-compliant and will be subject to penalties in addition to the applicable filing fees. Companies that have defaulted for five years or more will be required to pay a penalty of GH¢2,000, while those that have defaulted for between one and four years will pay GH¢1,000.

The Registrar of Companies, Mrs. Maame Samma Peprah, emphasized that timely compliance is essential to maintaining accurate business records and ensuring the continuity of businesses on the official register. She further cautioned that failure to meet the deadline could result in businesses being delisted from the register, thereby affecting their legal standing and operations. The ORC is therefore encouraging all businesses to fulfil their obligations before the deadline to avoid sanctions and safeguard their corporate status.
