The Office of the Registrar of Companies (ORC) has directed all registered companies, partnerships, and business name holders to file their annual returns or renew their business names by Thursday, April 30, 2026, in compliance with statutory requirements.
In a press release issued on February 27, the office urged directors, business owners, and partners to meet the deadline to maintain good standing and avoid penalties. The filing requirement applies to companies whose financial year ends on December 31 and includes companies limited by shares, companies limited by guarantee, external companies, and unlimited liability companies.

The ORC cautioned that companies that fail to file will face penalties, including GH¢2,000 for entities in default for five years or more and GH¢1,000 for those in default between one and four years, in addition to filing fees. Persistent non-compliance could also result in companies being struck off the register, making their operations unlawful.
Business names that are not renewed within the stipulated period will lapse and may be removed from the register.
The office called on all affected entities to comply promptly to avoid legal and financial consequences and ensure business continuity.
